Resumen
El presente Trabajo de Diploma titulado: “Análisis de dos figuras asociativas novedosas: la sociedad mercantil-laboral y el usufructo de acciones”, tiene como objetivo principal realizar un estudio a fondo de la sociedad mercantil-laboral y el usufructo de acciones, y en base a ello analizar las características y ventajas de ambas como figuras asociativas.
El trabajo cuenta con dos capítulos: el primero de ellos denominado “Las Sociedades Mercantiles. Un acercamiento a las Sociedades Capitalistas”, consta de tres epígrafes, en los cuales se realiza un estudio de las sociedades mercantiles desde su forma más genérica hasta llegar a tipos de sociedades en específico como son la Sociedad Anónima y la de Responsabilidad Limitada, de las cuales se derivan las figuras que interesan en la investigación, además de responder este capítulo al primero de los objetivos específicos; el segundo capítulo titulado “La sociedad mercantil-laboral y el usufructo de acciones: análisis doctrinal y práctico de las figuras”, cuenta con dos epígrafes y tributa a los restantes objetivos específicos, pues aborda en una primera parte las características esenciales de la sociedad mercantil-laboral y del usufructo de acciones en algunos Ordenamientos Jurídicos donde se regulan, y posteriormente se exponen las ventajas, desventajas y resultados de la aplicación de estas figuras. Por último se ofrecen las conclusiones generales a las que se arribaron en la investigación y además, recomendaciones y anexos que complementan igualmente este trabajo.
The present Diploma Research entitled “Analysis of two new societies: the mercantile-laboral society and the actions usufruct”, has as its main objective to make a deep study of the mercantile-laboral society and the actions usufruct, so as to be supported for the analysis of the features and advantages of them both as associative figures. The paper consist of two chapters, the first one is entitled “The Mercantile Societies, an approach to the capitalist societies”. It consists of three main subjects in which we develop a study about the mercantile societies from their most generic form to the specific types of societies such as the Anonymous Societies and the Limited Responsabilities. From both of them, we derive the figures which interest us for our research, apart from responding this chapter to the first of our specific objectives. The second chapter is entitled “The mercantile-laboral society and the actions usufruct: doctrinal and practical analysis of the figures”, consist of two subjects and deals with the rest of the specific objectives, since it approaches in the first part the main characteristics of the laboral and mercantile society and of the actions usufruct on some Juridical Order where we regulate and later state the advantages, disadvantages, and results of the application of these figures. Finally, we offer the general conclusions to which we get on the research, beside some recommendations and annexes that equally compliment this study.
